The Body&#8217;s role is to <\/span><b>monitor and verify<\/b><span style=\"font-weight: 400;\"> the compliance and effectiveness of the <\/span><b>231 Organizational Model<\/b><span style=\"font-weight: 400;\">, report any deficiencies, anomalies and violations or update the Model if necessary. For these reasons, <\/span><b>this authority is paramount i<\/b><span style=\"font-weight: 400;\">n the Model itself and the requirements compliance programs.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">It&#8217;s important to remind you that the <\/span><b>231 Organizational Model<\/b><span style=\"font-weight: 400;\"> (Also called <\/span><b>MOG 231<\/b><span style=\"font-weight: 400;\">) is a business management system that aims to identify all the <\/span><b>operating procedures<\/b><span style=\"font-weight: 400;\"> developed by the company to <\/span><b>decrease the risk of crimes<\/b><span style=\"font-weight: 400;\"> in the organization&#8217;s interest.\u00a0<\/span><\/p>\n<p><b>The benefits of such models are numerous<\/b><span style=\"font-weight: 400;\">: the first is to <\/span><b>excuse from penalties<\/b><span style=\"font-weight: 400;\"> provided by Legislative Decree 231\/2001 and to allow significant savings on costs deriving from any legal fees. In addition to that, it gives <\/span><b>new possible business opportunities<\/b><span style=\"font-weight: 400;\">, as various public entities and companies require their suppliers to be equipped with MOG 231, and also <\/span><b>greater control<\/b><span style=\"font-weight: 400;\"> over internal processes at risk of crime.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">In addition to the functions listed above, the <\/span><b>Supervisory Body<\/b><span style=\"font-weight: 400;\"> is also responsible for the <\/span><b>following tasks<\/b><span style=\"font-weight: 400;\">:\u00a0<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Propose adaptations of the Model, i.e., following changes in the company&#8217;s activity structure or according to the regulatory framework.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Supervise and control the recipients&#8217; observance and effective implementation of the MOG 231.\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Manage and monitor information and training initiatives to spread knowledge and understanding of MOG 231 by its recipients.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Manage and control the information received concerning the functioning of the Model.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Identify activities at risk of crime.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Provide controls aimed at preventing crimes.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Identify methods to manage the financial resources that are necessary to stop or prevent crimes.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Introduce adequate disciplinary systems to sanction failure to comply with the measures provided by MOG 231.<\/span><\/li>\n<\/ul>\n[\/vc_column_text][vc_empty_space height=&#8221;20px&#8221;][vc_column_text]\n<h2><span style=\"font-weight: 400;\">The requirements of the Supervisory Body\u00a0<\/span><\/h2>\n<p><span style=\"font-weight: 400;\">In all its activities, the <\/span><b>Supervisory Body<\/b><span style=\"font-weight: 400;\"> must show attributes of <\/span><b>independence, autonomy, continuity of action and professionalism.\u00a0<\/b><\/p>\n<p><b>Autonomy and independence<\/b><span style=\"font-weight: 400;\"> are necessary to exclude any admixture or coincidence between the controller and the controlled. For this reason, the Body must never be responsible for corporate operational tasks in areas at risk of &#8220;predicate offenses.&#8221;<\/span><\/p>\n<p><b>Continuity of action<\/b><span style=\"font-weight: 400;\"> is essential to ensure constant control over activities that are, so to speak, &#8220;sensitive&#8221; (i.e., at risk of crime), and the uninterrupted monitoring of the Model, which must be in line with corporate and regulatory developments.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Finally, <\/span><b>professionalism<\/b><span style=\"font-weight: 400;\"> relates to two different competencies that members of the Body must always show: on the one hand, that of a juridical-criminal nature (especially relating to predicate offenses and the provisions of Legislative Decree 231\/2001); on the other hand, technical-inspection knowledge, as it is essential for analyzing company systems.\u00a0<\/span>[\/vc_column_text][vc_empty_space height=&#8221;20px&#8221;][vc_column_text]\n<h2><span style=\"font-weight: 400;\">Appointment and composition of the Supervisory Body\u00a0<\/span><\/h2>\n<p><span style=\"font-weight: 400;\">In the case of <\/span><b>a small entity<\/b><span style=\"font-weight: 400;\">, Article 5, paragraph 4 of the <\/span><b>Legislative Decree 231\/2001<\/b><span style=\"font-weight: 400;\"> (&#8220;Discipline of the administrative liability of corporate body, companies and associations, including those without legal status, under Article 11 of Law no. 300 \u2013 September 29, 2000) states that the <\/span><b>Supervisory Body<\/b><span style=\"font-weight: 400;\"> may coincide with the <\/span><b>administrative body<\/b><span style=\"font-weight: 400;\"> of the company itself.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Generally, the <\/span><b>Supervisory Body is appointed by the Board of Directors<\/b><span style=\"font-weight: 400;\"> or, alternatively, by the entity&#8217;s <\/span><b>Sole Directo<\/b><span style=\"font-weight: 400;\">r. However, it&#8217;s also essential to specify that our legal system <\/span><b>does not dictate rigorous conditions <\/b><span style=\"font-weight: 400;\">regarding how the Body must be composed. Therefore, it may be <\/span><b>monocratic<\/b><span style=\"font-weight: 400;\"> (i.e., with only one member) or <\/span><b>collective<\/b><span style=\"font-weight: 400;\"> (i.e., with multiple subjects). The subjects of a <\/span><b>collective Supervisory Body<\/b><span style=\"font-weight: 400;\"> can be <\/span><b>internal and external<\/b><span style=\"font-weight: 400;\"> to the company, and their office will have a duration of <\/span><b>three or five years<\/b><span style=\"font-weight: 400;\"> \u2013 except for any subsequent renewal.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">It is easy to understand that <\/span><b>the composition of the Supervisory Body<\/b><span style=\"font-weight: 400;\"> will depend on many factors: the entity&#8217;s <\/span><b>size<\/b><span style=\"font-weight: 400;\">, type of <\/span><b>activity<\/b><span style=\"font-weight: 400;\">, and organizational <\/span><b>complexity<\/b><span style=\"font-weight: 400;\">.
